Tokyo Gas Expands Into US Market with $2.7 Billion Acquisition of Rockcliff Energy

Quantum Capital Group sold Rockcliff Energy II LLC, a Quantum Energy Partners' company, to TG Natural Resources LLC for $2.7 billion on December 29. TG Natural Resources is a part of Tokyo Gas, a Japanese company aiming to triple its overseas profits in North America and other regions.
Following the acquisition, TGNR will have an area of about 594.6 square miles (1,540 square kilometers), roughly 70% the size of Tokyo. This makes it one of the largest operations in Texas and Louisiana, as stated in a Tokyo Gas news release. With an anticipated rise in natural gas demand, including new LNG export terminals in the USA, Tokyo Gas plans to expand its shale gas business in North America as part of its medium-term management strategy, aiming to strengthen its revenue base internationally.
TGNR, known for its consistent investments across different commodity cycles, is well-positioned for long-term success with this acquisition. Rockcliff has significantly invested in reducing methane emissions, enhancing the cleanliness of their operations. TGNR plans to further advance these efforts, aiming to reduce methane intensity in their joint operations.

Rockcliff, over the past eight years, has grown into one of the top private natural gas companies in the U.S. The company's production increased significantly, from about 100 million cubic feet per day in 2017 to over 1.3 billion cubic feet per day, reflecting its dedication and success.

TGNR, a major producer in the Ark-La-Tex area of East Texas and Northern Louisiana, is jointly owned by TG East Texas Resources LLC (a subsidiary of Tokyo Gas America) and CCI U.S. Asset Holdings LLC (a subsidiary of Castleton Commodities International LLC).

Dallas-Based Sunoco Buys NuStar Energy for $7.3 Billion
Sunoco, a gas station company based in Dallas, will buy NuStar Energy, a major operator of liquid storage and pipelines, for $7.3 billion. The acquisition of NuStar Energy by Sunoco not only enlarges Sunoco's fuel distribution business but also moves it into the crude oil middle market, especially in the important Permian Basin area.
SilverBow Successfully Completes $700MM Purchase of Chesapeake’s South Texas Holdings
SilverBow Resources Inc. finished buying Chesapeake Energy Corp.'s oil and gas areas in South Texas. They agreed to this $700 million deal back in August. The deal included SilverBow paying $650 million in cash when the deal was closed. They will also pay another $50 million in cash a year later, with some usual changes in the amount. Chesapeake might get an additional $50 million later, depending on the prices of oil and gas in the future. SilverBow paid for this big purchase with the money they had, by borrowing from their credit line, and by selling more of their second lien notes.
Kinetik Holdings recently announced a series of transactions in the energy sector. They struck a deal to buy Durango Permian infrastructure for $765 million. At the same time, they're selling their 16% share in the Gulf Coast Express Pipeline to ArcLight Capital Partners for $540 million. The total purchase cost includes $510 million in cash paid immediately and an additional $30 million that will be paid later, depending on whether they decide to expand further.
Recently, the Permian has seen significant acquisitions: Exxon Mobil purchased Pioneer Natural Resources for about $60 billion. Diamondback Energy's $26 billion deal to acquire Endeavor Energy Resources is currently on hold due to requests from the U.S. Federal Trade Commission. Occidental’s acquisition of CrownRock for $12 billion in the Midland.
EOG Resources is pushing boundaries in Ohio's Utica oil play and now drilling on the Sable pad, also located in Noble County. This site features the 3.7-mile lateral currently under construction. The company's first multi-well pads in the area Timberwolf and Xavier have each produced over 200,000 barrels of oil since their inception—Timberwolf in August and Xavier in October. A third site, the four-well White Rhino pad in Noble County, is also showing promising early results, according to Keith Trasko, EOG’s Senior Vice President of Exploration and Production, who noted the wells are performing as expected in their initial weeks.
